Terms of Service

These Terms of Service ("Terms") are an agreement between you and Extract Edge, A/73 Rustomjee Royale, J.S. Road, Dahisar West, Mumbai, Maharashtra 400068, India ("APIHiver", "we", "us"), the operator of the APIHiver API marketplace at apihiver.com, including its website, dashboard, API gateway and related services (together, the "Service").

By creating an account, subscribing to an API, listing an API, or otherwise using the Service, you agree to these Terms and to our Privacy Policy and Refund & Cancellation Policy. If you use the Service for an organisation, you confirm you're authorised to accept these Terms on its behalf. If you don't agree, please don't use the Service.

1. Definitions

  • API: an application programming interface listed on the Service.
  • API Provider (or "Provider"): a user who lists an API on the Service and makes it available to others.
  • API Consumer (or "Consumer"): a user who subscribes to and calls APIs through the Service.
  • API Content/Terms: everything a Provider supplies with an API, including its name, description, documentation, endpoints, pricing plans, rate limits, and any additional terms or service levels.
  • Gateway: APIHiver's infrastructure (for example https://<api-name>.p.apihiver.com) that authenticates, routes, meters and logs calls from Consumers to a Provider's API.
  • User Content: any content you submit to the Service, such as listings, documentation, reviews, discussion posts, messages and images.

2. The Service and your account

2.1 The Service. APIHiver is a marketplace. It lets Providers publish APIs, and lets Consumers discover, compare, subscribe to, test, and call those APIs through a single account, a single API key and our Gateway. We also provide billing, usage analytics, request logs, and communication tools between Consumers and Providers.

2.2 Registration. You must be at least 18 years old and able to form a binding contract. You must give accurate, current information and keep it up to date. You're responsible for everything that happens under your account and API keys. Keep your password and keys confidential, and tell us immediately at [email protected] if you believe they've been compromised. You can rotate API keys at any time from your dashboard.

2.3 Changes to the Service. We may add, change or remove features of the Service. Where a change materially reduces a paid feature you rely on, we'll tell you in advance where reasonably possible.

3. APIs are between Providers and Consumers, not APIHiver

3.1 Provider responsibility. Each API is built, owned, operated and supported by its Provider. The terms that govern your use of an API, and any rights or claims relating to it, are solely between you and that API's Provider, not APIHiver. The Provider (not APIHiver) is responsible for the API's functionality, availability, accuracy, output, data, support, legal compliance, and any claims about it, including product-liability, data-protection and intellectual-property claims.

3.2 No endorsement. Listing an API on the Service is not an endorsement. We may, but don't have to, review, test, screen or monitor any API or API Content/Terms, and we may do so at any time, for any reason, without notice.

3.3 Provider terms. A Provider may attach its own terms, usage rules or service levels to an API. By subscribing, you agree to them as well. If they conflict with these Terms, these Terms prevail as between you and APIHiver.

3.4 Support. Questions about how an API works should go to its Provider via Contact Provider, the API's Discussions, or its listed support details. We'll help route issues that don't get a response.

4. API Providers: grants and obligations

4.1 Listing. To list an API, you must complete our listing flow and supply accurate API Content/Terms, including your API's base URL, description, documentation, and pricing plans (free, paid, quota-based or overage pricing).

4.2 Licence to APIHiver. You grant APIHiver a non-exclusive, worldwide, royalty-free licence, for as long as your API is listed (and for a reasonable period afterwards to wind down), to: (a) host, reproduce, display and distribute your API Content/Terms on the Service; (b) make your API available to Consumers through the Gateway, including authenticating, proxying, metering, rate-limiting and logging calls; (c) use your name, company name and logo to identify you as a Provider on the Service and in our marketing.

4.3 Your obligations. You confirm, and must continue to ensure, that:

  • you own or have all rights and permissions needed to offer the API and the data and content it returns;
  • the API and your listing comply with all applicable laws, including data-protection, consumer-protection, export-control and intellectual-property laws, and don't infringe anyone's rights;
  • your API Content/Terms are accurate and not misleading, and you'll keep the API reasonably functional and supported as described;
  • you'll respond in good faith to Consumer support requests, refund requests, and legal notices we forward to you;
  • you won't collect Consumers' personal data through your API beyond what's needed to provide it, and you'll handle any personal data you receive lawfully;
  • you won't try to bypass the Gateway to bill Consumers you acquired through the Service for the same API outside the Service.

4.4 Changes and removal. You may change your API or its plans, or deprecate it. When you do, you must give existing subscribers reasonable notice and keep honouring periods they've already paid for. We may require notice periods for breaking changes.

4.5 Credentials you give us. If you store secrets with us (for example a header or key your backend expects from the Gateway), we keep them encrypted and use them only to forward Consumers' calls to your API.

5. Restrictions and acceptable use

Unless these Terms expressly allow it, you must not:

  • copy, modify, translate, or create derivative works of the Service or any part of it;
  • sell, resell, sublicense, rent, lend or transfer access to the Service, or share, publish or resell API keys;
  • decompile, disassemble or reverse-engineer the Service's software, except where the law allows it despite this restriction;
  • list an API that infringes patents, copyrights, trademarks, trade secrets or other rights, or that uses someone else's brand in a way that misleads people about its source or affiliation;
  • use the Service to store or transmit unlawful, infringing, defamatory, obscene, or harassing material, or material that violates someone's privacy;
  • use the Service to store or transmit viruses, malware or other harmful code;
  • interfere with or disrupt the Service, the Gateway, or any API, or try to gain unauthorised access to any system or account;
  • circumvent quotas, rate limits, authentication, billing or security measures, including by calling a Provider's backend directly to avoid the Gateway;
  • scrape or bulk-copy the marketplace, or use it to build a competing product;
  • use the Service for spam, fraud, phishing, or any illegal purpose, or in breach of sanctions or export laws.

We may investigate suspected violations and suspend or remove accounts, keys, listings, or content, and cooperate with law-enforcement authorities.

6. User Content

6.1 Your content. You're responsible for your User Content. You confirm you have the rights to submit it, and that it complies with these Terms and the law.

6.2 Licence. You keep ownership of your User Content. You grant APIHiver a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, display and distribute it as needed to operate, promote and improve the Service. Reviews and discussion posts may remain visible after you close your account, attributed to your username.

6.3 Moderation. We may, but don't have to, review, edit, or remove User Content that we believe breaks these Terms or the law.

7. Ownership of the Service

APIHiver and its licensors own the Service, including its software, design, text, graphics, the "APIHiver" name and logos. Apart from the limited right to use the Service under these Terms, you get no rights in it. APIs and API Content/Terms belong to their Providers or licensors.

8. Payments and taxes

8.1 Subscription plans. Consumers subscribe to an API under one of the plans its Provider offers. Each plan sets a price, a billing period, a request quota, and may set rate limits, overage charges, or a hard limit (calls refused once the quota is used up). Plans renew for successive billing periods of the same length until cancelled. You can switch plans or cancel from your dashboard.

8.2 Fees and billing. Prices are shown on each API's pricing page and at checkout, in the currency shown (Indian Rupees unless stated otherwise). Fees are payable in advance for each billing period. Payments are processed by our payment partner, Razorpay. APIHiver never receives or stores your full card details.

8.3 Renewals. At the start of each new billing period we issue a renewal invoice for the plan price plus any overage used in the previous period. Pay it from Dashboard → Billing. If a renewal invoice isn't paid, the subscription becomes past due and API access through the Gateway is paused until it's paid. The invoice stays open for about seven days. If it's still unpaid after that, the subscription expires.

8.4 Overage and usage. Where a plan allows overage, calls above the quota are charged at the plan's per-request rate on your next invoice. Usage is measured by our Gateway, and our records are the basis for billing, unless they're shown to be wrong.

8.5 Price changes. Providers may change plan prices. Changes apply from your next billing period, and never to a period you've already paid for.

8.6 Refunds. Refunds are handled under our Refund & Cancellation Policy. Because APIHiver collects payments on Providers' behalf, the Provider of the API decides refund requests about their API.

8.7 Provider payments. Providers authorise APIHiver to collect fees from Consumers on their behalf. From the fees received, we deduct the applicable platform commission shown in the Provider dashboard, payment-processing fees, refunds and chargebacks, and any taxes we must withhold, and pay out the net amount. Earnings are paid monthly, in arrears: the net earnings for a calendar month are paid in the first week of the month after next (for example, August earnings are paid in the first week of October). Payouts are made by manual transfer to the PayPal email address you provide in your account settings. Payments that are disputed, refunded, or charged back aren't eligible, and may be deducted from later payouts. You're responsible for giving an accurate PayPal address. We aren't responsible for delays caused by incorrect information.

8.8 Taxes. Prices are shown inclusive or exclusive of applicable taxes (such as GST) as indicated at checkout. Each party is responsible for its own taxes. Providers are responsible for taxes on their earnings. Our billing facilitation doesn't mean we take on a Provider's tax liability, except where the law requires it.

If you believe content or an API on the Service infringes your rights or breaks the law, email [email protected] with: your contact details, the content or API concerned (with its URL), the right you believe is infringed, the reason, and a statement that your complaint is accurate and made in good faith.

Because APIs belong to their Providers, we'll forward complaints and legal notices about an API (including cease-and-desist letters) to its Provider, who is responsible for responding. We may remove or disable access to the content or API while the matter is resolved, and suspend repeat infringers. Complaints can also be sent to our Grievance Officer (see the Privacy Policy), as required by India's Information Technology rules.

10. Feedback

If you send us suggestions or feedback, we may use them freely without any obligation to you.

The Service links to, and relies on, third-party websites and services (including Providers' APIs and our payment partner). We don't control them and aren't responsible for their content, availability, or practices. Your use of them is at your own risk and subject to their terms.

12. Trademarks

"APIHiver" and our logos are our trademarks. Other names and logos on the Service belong to their owners. You may not use our trademarks without our written permission, except to accurately say that your API is available on APIHiver.

13. Suspension and termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access, or remove any API, listing or content, with or without notice, if you breach these Terms, if required by law or a payment partner, to protect the Service or its users, or if an account stays inactive for a long period. If we remove a Provider's API, we'll try to give subscribers notice. Sections that by their nature should survive termination (including payment obligations, Sections 3, 6–12 and 14–18) survive.

14. Disclaimer

The Service, the Gateway, and every API are provided "as is" and "as available". To the fullest extent the law allows, APIHiver disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy, and non-infringement. We don't warrant that the Service or any API will be uninterrupted, secure, error-free, or meet your needs, and we're not responsible for APIs, API Content/Terms, or the acts of Providers or Consumers.

15. Indemnification

You'll defend, indemnify and hold harmless APIHiver and its owners, employees and agents from any claims, losses, damages, liabilities and costs (including reasonable legal fees) arising from your use of the Service, your User Content, your breach of these Terms or the law, or, if you're a Provider, your API and API Content/Terms.

16. Limitation of liability

To the fullest extent the law allows: (a) APIHiver won't be liable for any indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, data, or goodwill, even if we were told they were possible; and (b) our total liability for all claims relating to the Service is limited to the greater of the fees you paid APIHiver in the three (3) months before the claim arose, or ₹5,000. Nothing here limits liability that can't be limited by law.

17. Disputes, arbitration and governing law

These Terms are governed by the laws of India. Before starting formal proceedings, please contact us at [email protected] so we can try to resolve the dispute informally within 30 days. Any dispute not resolved that way will be finally settled by arbitration under the Arbitration and Conciliation Act, 1996, by a sole arbitrator appointed by APIHiver. The seat and venue of arbitration is Mumbai, and it will be conducted in English. Subject to this, the courts at Mumbai, Maharashtra, India have exclusive jurisdiction.

18. Miscellaneous

  • Independent parties. Nothing in these Terms creates a partnership, agency, employment or joint-venture relationship. Providers are independent businesses.
  • Assignment. You may not transfer these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.
  • Third-party infrastructure. The Service runs on third-party hosting, storage, email and payment infrastructure, and may be affected by their outages.
  • Electronic communications. You agree to receive notices, invoices, and communications from us electronically, including by email and in the dashboard, and agree that these satisfy any legal requirement to be in writing.
  • Severability. If any part of these Terms is found unenforceable, the rest remains in effect.
  • No waiver. Not enforcing a right isn't a waiver of it.
  • Force majeure. We're not liable for delays or failures caused by events beyond our reasonable control.
  • Entire agreement. These Terms, together with the policies they reference and any plan terms you accept, are the entire agreement between you and APIHiver about the Service.
  • Changes. We may update these Terms. We'll update the "Last updated" date and notify you of material changes by email or in the dashboard. Continuing to use the Service after changes take effect means you accept them.
